Report no. 11/2016

Pursuant to §5 (1) (3) of the Regulation of the Minister of Finances of 19th February 2009 on current and periodical information provided by issuers of securities, the Management Board of EMC Instytut Medyczny S.A. informs that on 3rd February 2016 the Company received from Regionalne Centrum Zdrowia Sp. z o. o. in Lubin a settlement to the contract concluded with the National Health Fund - the Dolnośląskie Voivodeship Branch in Wrocław (the Fund Branch), regarding healthcare services in the scope of inpatient care for the period 1st January to 31st December 2011. Healthcare services specified hereinabove are provided by the subsidiary of EMC Instytut Medyczny S.A. - Regionalne Centrum Zdrowia Sp. z o. o. in Lubin.

The said company became a subsidiary of EMC Instytut Medyczny SA in 2014, of which the Issuer informed in the current report no. 24/2014 of 02.11.2014.The above settlement refers to the total remuneration for health care services such as inpatient care in the period 1st October to 31st December 2011. Regionalne Centrum Zdrowia Sp. z o.o. was established in order to take over medical services previously provided by the independent public health care facility known as Zakład Opieki Zdrowotnej in Lubin [Health Care Centre in Lubin]. Lubin County, the founding body for the Health Care Centre in Lublin, appointed Regionalne Centrum Zdrowia Sp. z o.o. as the entity eligible to assume the rights and obligations of the Health Care Centre in Lublin being liquidated. Therefore, to assess the criterion for considering the agreement as significant, it was assumed that the total liability of the NHF against the Company equaled the amount of obligations to both the Health Care Centre in Lubin and Regionalne Centrum Zdrowia Sp. z o.o.

Based on the said settlement the National Health Fund the Dolnośląskie Voivodeship Branch in Wrocław, agreed to pay to Regionalnego Centrum Zdrowia sp. z o.o additional remuneration of PLN 142,932.94 for health care services such as inpatient care in the period 01.10.2011 to 31.12.2011, the number of which exceeded the number of units specified in the contract No. 03/1/3302673/01/2011/ for rendering health care services. As a result of signing the said settlement to the contract, the value of the contract with the highest value (concerning health care services such as inpatient care provided by the Health Care Centre in Lubin and Regionalne Centrum Zdrowia Sp. z o.o. ) has changed and it currently totals PLN 45,552,819.94 ( an increase by PLN 142,932.94).The total maximum Fund Branch liability towards the subsidiary Regionalne Centrum Zdrowia Sp. z o.o. in Lublin ( including contracts signed by the Health Care Centre in Lubin) currently amounts to PLN 50,387,445.69 for the period 1st January to 31st December 2011. A criterion for a contract to be considered significant: The value of contracts exceeds 10% of the Issuer’s equity capital.
