Reducing the share in the total number of votes below 5%
The Management Board of EMC Instytut Medyczny S.A. informs that on 29 July 2013 it received a notification from Investors Towarzystwo Funduszy Inwestycyjnych SA (“Investors” ", " Fund Management Company ") which concerns the decrease in the involvement below 5% of the total number of votes at the General Meeting of EMC Instytut Medyczny S.A.
In the notification submitted pursuant to Art. 69 (1) (2) and Art. 87 (1) (2) (a) of the Act of 29 July 2005 on Public Offering and the Conditions Governing the Introduction of Financial Instruments to the Organized Trading, and on Public Companies, Investors announced that its involvement in the total number of votes at the General Meeting of the Company ,due to the disposal of 726,230 shares of the Company (“ the Event”) that occurred on 23 July 2013, has been reduced as follows:
Prior to the change in shareholding i.e. 22 July 2013,open-ended and closed-end investment funds, represented and administered by Investors i.e. Investors Top 25 Małych Spółek FIO [Investor Top 25 Small CapsOpen-Ended Investment Fund], Investors Top 50 Małych i Średnich Spółek FIO [ Investor Top 50 Middle and Small Caps Open-Ended Investment Fund ], Investors Akcji FIO [FIO Shares Investors]and Investors CEE FIZ [Investors of CEE Closed Investment Fund] ( “the Funds”) jointly held 726,230 shares that constitute 8.72% of the share capital of the Company and 7.39% of the total number of votes votes at the General Meeting of the Company.
Following the change in shareholding on 23 July 2013 the Funds ceased to hold 726,230 shares that constitute 8.72% of the share capital of the Company and 7.39% of the total number of votes votes at the General Meeting of the Company including:
Investor Top 25 Small Caps Open-Ended Investment Fund- held 397,415 shares of the Company that constituted 4.77% of the share capital of the Company and entitled to 4.04% of the total number of votes at the General Meeting of the Company i.e. entitled its holders to exercise 397,415 votes attached to shares of the Company, after the occurrence of the Event the Fund does not hold any shares of the Company,
Investor Top 50 Middle and Small Caps Open-Ended Investment Fund- held 205,879 shares of the Company that constituted 2.47% of the share capital of the Company and entitled to 2.09% of the total number of votes at the General Meeting of the Company i.e. entitled its holders to exercise 205,879 votes attached to shares of the Company, after the occurrence of the Event the Fund does not hold any shares of the Company,
FIO Shares Investors -held 50,000 shares of the Company that constituted 0.60% of the share capital of the Company and entitled to 0.51% of the total number of votes at the General Meeting of the Company i.e. entitled its holders to exercise 50,000 votes attached to shares of the Company, after the occurrence of the Event the Fund does not hold any shares of the Company,
Investors of CEE Closed Investment Fund -held 72.936 shares of the Company that constituted 0.88% of the share capital of the Company and entitled to 0.74% of the total number of votes at the General Meeting of the Company i.e. entitled its holders to exercise 72,936 votes attached to shares of the Company, after the occurrence of the Event the Fund does not hold any shares of the Company.
Consequently, investment funds managed by the Fund Management Company do not hold any shares of the Company.
In line with the said notification, there are no subsidiaries of the Fund or Investors Fund Management Company to hold shares of the Company, neither are there any persons referred to in Art. 87 (1) (3)(c) of the Act .
