Report no. 45/2014

The Management Board of EMC Instytut Medyczny S.A. reports  that on 25 March 2014 the Company received the information that the increase in the share capital  of the Company had been registered by the District Court for Wrocław-Fabryczna, VI  Commercial Division of the National Court Register on 14 March 2014. As a result of the aforementioned registration, the share capital has been increased from PLN 33,308,856.00 to PLN 48,078,096.00, that is by the amount of PLN 14,769,240.00.
 

The increase in the share capital has been effected by the issue of 3,692, 310 ordinary bearer series H shares , with a nominal value of PLN. 4.00 (PLN four) each with the  pre-emptive right of the current shareholders excluded pursuant to the Resolution of the Management Board of the Company to offer the shares to the specified individual shareholders.
 

Following the registration of the issue of Series H shares, the share capital of EMC Instytut Medyczny SA is divided into:

1,500,038 Series A preferred registered shares with the nominal value of PLN 4,00 (four) per  share,

2,500,062 Series B ordinary bearer shares with the nominal value of PLN  4,00 (four) per share,

1,500,000  Series C ordinary  bearer shares with the nominal value of  PLN  4,00 (four) per share,

400,000 Series D ordinary bearer shares  with the nominal value of PLN 4,00 (four ) per share,

737,512 Series E ordinary bearer shares with the nominal value of PLN  4,00 (four) per share,

500,000 Series F ordinary bearer shares with the nominal value of PLN  4,00 (four) per share,

1,189,602 Series G ordinary bearer shares with the nominal value of PLN 4,00  (four) per share,

3,692,310 Series H ordinary bearer share with the nominal value of PLN 4,00  (four) per share. 

 

Following the registration of the new  issue of shares, the total number of shares has increased to 12,019,524 while the number of votes at GMS has reached 13,519,562.
