Report no 42/2016

The Management Board of  EMC Instytut Medyczny S.A. announces that on 25 July 2016 an annex was signed to the  CRD /45053/16 Loan Agreement with Raiffeisen Bank Poland Polska Spółka Akcyjna with its seat in Warsaw (‘Annex to the RCZ Agreement ‘) by a subsidiary of the Issuer - Regionalne Centrum Zdrowia sp. z o.o. based in Lubin (‘RCZ’), as well as the signing on 25th  July 2016 by the Issuer an annex to the CRD / 45054/16 Loan Agreement with Raiffeisen Bank Polska Spółka Akcyjna with its seat in Warsaw (‘Annex to EMC Agreement’) . The Issuer informed about the loan agreements entered into by the Issuer and RCZ with Raiffeisen Bank Polska Spółka Akcyjna (the ‘Bank’) in its current report no 37/2016 of 13th July 2016.

Pursuant to the Annex to the RCZ Agreement, additional security for repayment of the loan has been introduced in the form of a mortgage with no other entries having priority over the entries for the Bank to the amount of PLN 4,500,000.00 (say: four million five hundred thousand) on the real estate in Lubin at  Bema St., owned by the Borrower, for which the District Court in Lubin, V Land Registry Division, maintains the land and mortgage register, entry no LE1U/00040012/3, along with the assignment of claims from the insurance contract for the mortgage. All cash liabilities arising from the agreement between EMC Instytut Medyczny S.A. with its registered office in Wrocław and the Bank under the CRD / 45054/16 Loan Agreement of 13 July 2016, as amended, have also been indemnified by the real estate mortgage.

All cash liabilities arising from the agreement between Regionalne Centrum Zdrowia sp. z o.o.with its and the Bank under the CRD / 45053/16 Loan Agreement of 12th  July 2016, as amended, have also been indemnified by the real estate mortgage. The other material terms of the agreement remain unchanged.According to the Management Board of EMC Instytut Medyczny S.A., this information is confidential within the meaning of art.7 of  Market Abuse Regulation concerning the Company, which if made public could have an impact on the price of its financial instruments.
