The Management Board of EMC Instytut Medyczny S.A. hereby announces that pursuant to art. 160 of the Act on Trading in Financial Instruments of 29 July 2005, on 28 May 2013 a notification was received from. Ms. Hanna Gerber, the Chairperson of the Supervisory Board of EMC Instytut Medyczny S.A., informing that there has been a disposal of shares of EMC Instytut Medyczny S.A. ("EMC"). In accordance with the submitted notification, Ms. Hanna Gerber announced that on 27 May 2013 she made a sale transaction of 240,062 shares of EMC Instytut Medyczny S.A. for her own account. The said shares constitute 2,88% of the share capital of EMC and carry 330,064 voting rights at the Meeting of Shareholders EMC, which represents 3,36% of the total number of votes at the General Meeting of Shareholders of EMC ( including 90,002 registered privileged series A Shares constituting 1,08% of the share capital of EMC that carry 180,004 voting rights at the General Meeting of Shareholders of EMC, which represents 1,83% of the total number of votes votes at the General Meeting of Shareholders of EMC as well as 150,060 ordinary bearer shares constituting 1,80% of the share capital of EMC that carry 150,060 voting rights at the General Meeting of Shareholders of EMC, which represents 1,53% of the total number of votes at the General Meeting of Shareholders of EMC). The said shares have been sold outside a regulated market in connection with Ms. Hanna Gerber making a in-kind contribution in respect of her taking up 18.107 shares in the increased share capital of Soporto Invest B.V. with its registered office in Amsterdam, the Netherlands.
