Report no. 40/2012

Pursuant to § 5(1)(3) of the Regulation of the Council of Ministers of 19 February 2009 on current and periodic information provided by issuers of securities and conditions of deeming information required by the regulations of a non-member country equal, the Management Board of EMC Instytut Medyczny SA informs about  concluding, on 19 March 2012, a  new contract and annexes to the loan contracts with Bank Zachodni WBK SA with its registered office in Wrocław  (the Bank). The Company informed about the contracts in its current reports nos. 85/2008 of 15 October 2008 and 35/2009 of 20 April 2009. The modifications introduced were aimed at restructuring the existing  Issuer’s liabilities to Bank Zachodni WBK SA.

The contract with the highest  value remains the investment loan contract, under which the Bank granted the Issuer the investment credit to the amount of PLN 12,395,000.00. Under the Annex, interest on the loan, which is calculated on the drawn amount of the loan at a variable rate of 1M WIBOR plus 2.40 pp, has changed.

The new working capital loan amounting  to PLN 6,000,000.00 with a repayment period of five years shall be designated for financing the demand for working capital. The final repayment date for working capital loan is 30 March 2017.
The loan  shall primarily be allocated to:

1.  the total repayment of the debt due to a revolving loan in the amount of  PLN 4.000.0000,00 and
2.  the partial repayment of the loan granted under an overdraft facility agreement in the amount of PLN 2.000.0000,00.

Interest shall accrue at a variable rate of WIBOR 1M plus 2.40 pp per year from the amount of the utilized loan.
The repayment collateral of the loan is a bail mortgage to the amount of PLN 9,000,000.00 for a property located in Wroclaw at Pilczycka 144-146 along with the assignment of  rights under the insurance contract of the property.

As a result of signing the said contract and annexes, the total amount of the loans has remained unchanged.
The other material terms of the loan agreements remain unchanged.

A criterion for a contract to be considered significant is the value of the contract amounting to at least 10% of the value of the equity capital of EMC Instytut Medyczny SA.
