Report 20/2020

In the Report No. 25/2019 of October 10, 2019, the Management Board of EMC Instytut Medyczny S.A. (hereinafter the "Company") announced that negotiations with the Staroste of the Kamieński District had started in order to determine the conditions of possible sales to the Kamieński District of an organized part of the Issuer's enterprise, i.e. St. George’s Hospital in Kamień in Kamień Pomorski, for a token price of one zloty. In Report No. 5/2020 of February 7, 2020, the Issuer informed that if the Company’s final offer was turned down by the authorities of the Kamień District, the Company would take steps to liquidate St. George’s Hospital in Kamień Pomorski, closing it down on March 31, 2020.

However, the Company reserved the right to have a change of heart about the above bearing in mind the well-being of patients and residents of the Kamieński District. Finally, the Company re-offered to sell to the Kamieński District an organized part of the Issuer's enterprise, i.e.  St. George’s Hospital in Kamień Pomorski, for a token price of one zloty.

The negotiations, which lasted six months, seem to have been getting  nowhere, so considering the current state of affairs, the Company sees no chance of reaching an agreement with the Kamieński District. For these reasons, the Company has just begun making arrangements for the liquidation of St. George’s Hospital in Kamień Pomorski, which is planned to start at the end of November 2020, unless the final offer submitted by the Company to the Kamieński District has been unconditionally accepted by that time. The company reserves the right to change the provisions described above, both as regards the dates and the hospital closure, taking into account the needs of the residents of the Kamieński District.
