Nominating Supervisory Board Members

The Management Board of EMC Instytut Medyczny S.A. announces that the Ordinary General Shareholders Meeting of May 24, 2019, has appointed the Supervisory Board Members of EMC Instytut Medyczny S.A candidates whose profiles were presented in the current report No. 14/2019, i.e.:

1.           Václav Jirků

The candidature has been submitted by a shareholder of Care Up B.V with its registered office in Amsterdam (the Netherlands).

A doctor by trade, since 2007 he has been associated with the Penta fund. Currently, he is the Investment Director with the Penta fund where he is responsible for implementing investments in the healthcare sector. He is involved in the implementation of Penta's investments in the pharmacy network of Dr. Max; a network of Svet Zdravia hospitals, a Dover company that offers medical insurance and a network of ProCare clinics in Slovakia.

2.           Agáta Meštellérová

The candidature has been submitted by a shareholder of Care Up B.V with its registered office in the Netherlands.

Agata Meštellérova graduated from the University of Economics in Prague. During her studies, she participated in a univeristy program in France run by the prestigious Burgundy School of Business; since 2012 she has been cooperating with Penta Investments Ltd. and since then she has remained co-responsible for several investments mainly in the health sector (pharmacies and hospitals). Agata Meštellérova also cooperates with a leading network of pharmacies in Europe (Dr. Max), where she supports management and she is also responsible for the innovation program. Until 2017 Agata Meštellérova successfully managed properties as well as being in charge of developing the Polish branch (Clar System ltd).

3.           David Soukup – a candidate for a Supervisory Board member who meets the independence requirements.

The candidature has been submitted by a shareholder of Care Up B.V with its registered office in the Netherlands. David Soukup declares that he meets the independence requirements.

David Soukup graduated from the Charles University in Prague with a degree in Economics.

Since 2001 he has been a member of the Nemos Group, with its registered office in the Czech Republic, gaining professional experience as an analyst, then as the Managing Director and since 2015 he has been the president of Nemos Group Plc, which operates in the healthcare sector.

4.           Martin Hrežo

The candidature has been submitted by a shareholder of Care Up B.V with its registered office in the Netherlands.

Martin Hrežo graduated from the University of Economics in Košice, Slovakia. He holds an MBA degree from Durham Business School, UK, he is a fellow of the Association of Chartered Certified Accountants (ACCA), member of the International Institute of Asset Management (IAM) and the associate member of the Association of Certified Fraud Examiners (ACFE).

Martin Hrežo joined Penta Hospitals International group in January 2017 after several years of being CFO and BoD member of Svet zdravia, the largest private general hospital network in Slovakia. He is responsible for overall financial management and procurement.

 Martin Hrežo has a strong financial and management consulting background from working in world renowned firms like Deloitte and Grant Thornton. He has also vast experience from complex restructuring/transformation projects in manufacturing, utility (Taylor–Wharton, Východoslovenská energetika) and healthcare sector.

5.           Dariusz Hołubowicz

The candidature has been submitted by a shareholder of Towarzystwo Funduszy Inwestycyjnych PZU SA with its registered office in Warszawie.

Since 2014 Dariusz Hołubowicz has been a member the PZU team as, where he holds the position of an Investment Manager. His professional experience includes: debt transactions - leveraged buyouts, project finance, syndicated loans and strategic projects, such as acquisitions in the banking sector. Previously, Dariusz Hołubowicz worked for the independent investment boutique of ICENTIS Corporate Solutions, where he dealt with transaction consulting for enterprises mainly in obtaining financing and financial restructuring.

Previously, he gained professional experience working for consulting and auditing companies such as Grant Thornton and Ernst & Young, where he was in charge of valuating and financial auditing respectively.

 Dariusz Hołubowicz holds a Bachelor's degree in Economics from the University of Economics in Poznań, as well as a Master's degree in Accounting and Finance from Warsaw School of EconomicsHe is a fellow of the Leslaw A. Paga Academy of Capital Market Leaders. He passed all 3 CFA exams.

6.           Jędrzej Socha

The candidature has been submitted by a shareholder of Towarzystwo Funduszy Inwestycyjnych PZU SA with its registered office in Warszawie.

Jędrzej Socha has been a member of the PZU team since 2016, where he holds the position of Senior Investment Analyst. In PZU, he participates mainly in debt transactions (LBO, leveraged finance, project finance, etc.) and strategic projects. Prior to joining the PZU team, he gained professional experience at mCorporate Finance SA working on M & A, ECM and DCM projects.

  He graduated from the University of Economics in Poznań and the Cranfield School of Management.

7.           Michał Hulbój – a candidate for a Supervisory Board member who meets the independence requirements.

The candidature has been submitted by a shareholder of Towarzystwo Funduszy Inwestycyjnych PZU SA with its registered office in Warszawie. Michał Hulbój declares that he meets the independence requirements.

Michał Hulbój graduated from the Warsaw School of Economics in Finance and Banking. He holds a stock broker license and has passed two exams in the CFA program. He gained professional experience in the training of managerial staff at Bank Millennium, then as an equity analyst at Millennium Dom Maklerski, PTE PZU and AIG PTE.

Between 2008 and 2010 he worked as the portfolio manager of shares in PTE PZU. By the end of 2010, he became the director of the Stock Management Management Team at Skarbiec TFI. In 2012, he served at Erste Securities Polska as the director of the Analysis Department of Analiz.

In February 2013, he was appointed the director of the Asset Management Office in Forum TFI SA, and since October 2013 he was a member of the Management Board of Forum TFI SA. Since December 2014, he was the president of Cresco Ltd. In June 2015, he was appointed the Supervisory Board member of Trakcja PRKiL SA, where he also acts as a member of the Remuneration Committee. Since May 2017, he has been a member of the Supervisory Board of Orzeł Biały SA, where from September 2017 he has been the Chairman of the Audit Committee. Since May 2017, he has been a member of the Supervisory Board of LC Corp SA, and since October 2017 has been the Chairman of the Supervisory Board as well as a member of the Nomination and Remuneration Committee. In June 2018 he was appointed the Supervisory Board member of Nowa Gala S.A. Since December 2017, he has been a member of the Supervisory Board of EMC Instytut Medyczny S.A. while serving as a member of the Audit Committee.

In accordance with the submitted statements, other than within the Company of the Issuer, the candidates for the Supervisory Board Members do not conduct any business activity competitive to Issuer. They are not partners in any competitive business, such as civil or private partnership or limited partnership nor are they involved in any other competitive legal entity by acting as members of its governing body.

In accordance with the submitted statements, the candidates for the Supervisory Board Members have not been entered into the Register of Insolvent Debtors kept pursuant to the National Court Register Act.

2)  § 5 (5) of the Regulation of the Minister of Finance of  March 29, 2018 on Current and Periodic Information Provided by Issuers of Securities and Conditions of  Deeming Information Required by the Regulations of a Non-Member Country Equal.
